These Terms of Service (the "Terms") govern access to and use of Alkali Engineering, Inc.'s software and services, including the Alkali web application and PDF annotation and estimation tools (collectively, the "Service"). If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "Customer" refers to that entity.
"Customer Content" means files, drawings, PDFs, project data, and any markups/notes/annotations that you or your users upload, submit, or create in the Service.
We treat Customer Content as confidential and will not disclose it to third parties except (a) to subprocessors that help us run the Service (e.g., hosting, databases, analytics, support tools) under appropriate confidentiality obligations, (b) as directed by Customer (e.g., sharing features you use), or (c) as required by law.
You agree not to:
Fees, billing cadence, seat counts, and any trial terms are as stated in your order form, invoice, checkout flow, or subscription page. Unless otherwise stated, subscriptions renew automatically until cancelled.
Alkali retains all rights in the Service, including software, models, and documentation, excluding Customer Content. If you provide suggestions or feedback, you grant Alkali a right to use it without restriction or compensation.
The Service is provided "as is" and "as available." Estimates, measurements, AI detections, and outputs are intended to assist workflows and may require review. Customer is responsible for verifying outputs for their use case.
To the maximum extent permitted by law, Alkali will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Alkali's total liability for all claims relating to the Service will not exceed the amounts paid by Customer to Alkali for the Service in the 12 months preceding the event giving rise to the claim.
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms. Upon termination, your right to use the Service ends. Data retention/deletion is described in the Privacy Policy.
We may update these Terms from time to time. If changes are material, we will provide notice via the Service or email. Continued use after the effective date of an updated Terms constitutes acceptance.
